QP's ANGELS RESELLER CONTRACT
This reseller contract is between Janis Muse and Carolyn Vaughn of Riverview, Florida, USA, Owners and Operators of QP's Angels (Online Store), aka Angels by QP's, web address www.QPsAngels.com, hereinafter known as Owner, and _______________________, of ___________________________, web address ________________________, hereafter known as Reseller.
Owner hereby agrees to sell Angels to ______________________ for resale. This contract is effective beginning _______________, and runs through an indefinite period of time, although contract may be cancelled upon written email request and 30 days notice by Owner or Reseller at any time. If contract is cancelled, Reseller agrees to delete all images and descriptions of any of QP's Angels on website(s) within 30 days.
Owner and Reseller agree that payment to Owner from Reseller for Angels will take place as needed, via www.Paypal.com to account janis_muse@yahoo.com. No personal checks will be accepted. Reseller agrees to pay all shipping costs.
PRICING
Owner and Reseller agree that current pricing for Reseller for all Angels is according to the attached price list dated ________________. Owner and Reseller agree that Owner reserves the right to change pricing at any time with 30-day notice to Reseller. At that time, a new contract will be made. Owner or Reseller can, at that time, accept or decline to continue with the new pricing and contract. Reseller agrees to pay all shipping costs.
Owner and Reseller agree that Owner gives Reseller the right to resell all Angels purchased, at whatever price desired and in any manner desired. Reseller agrees to pay all shipping costs.
SHIPPING AND TAXES
Owner and Reseller agree that Reseller will pay all shipping costs. Owner and Reseller agree that reporting taxes for Angels purchased is the responsibility of Owner and Reseller separately. Reseller is functioning as an Independent Contractor for Owner.
PROCEDURE
Owner and Reseller agree on the following procedure for the purchase and resale of QP's Angels:
1) Reseller buys Angel(s) from Owner via methods agreed on above, at prices stated on price list attached.
Reseller agrees to either: indicate name and shipping address of her customer for drop shipping; or notate to send Angel(s) directly to Reseller. If Reseller wants Owner to drop ship, Reseller will supply return address labels to Owner asap.
2) Owner then agrees to create the Angel and ship it out within 14 days from date of receiving order, OR date of receiving further instructions, should there be a question about an Angel. Reseller agrees to be the go-between for Owner and Reseller's customer if there are questions, problems, or other issues about the purchase, and to do so in a timely manner.
3) Owner will ship out the Angel without a packing slip or any indication of Owner's company, and will use Reseller's return address. Reseller agrees to supply return address labels to Owner as soon as possible (if drop shipping any Angels).
4) If Reseller's customer is not satisfied with the Angel, Reseller will notify Owner immediately. Reseller will negotiate with customer to try to replace the Angel. The Angel may then be returned from customer to Reseller within 30 days from date of sale. Reseller will then return Angel to Owner within 7 days. Owner will mail to Reseller's customer or Reseller a replacement Angel within 2 weeks from Owner's date of receipt of Angel. If customer demands refund instead of replacement, a refund will be given to Reseller from Owner within 7 days of Owner's receipt of Angel. Reseller can then deal with their customer's refund.
This contract is being agreed to via email; therefore, it is agreed that legal "signatures" are simply copying this contract into an email with a note saying I agree and typing name, title, name of company, and company information.
